Regulations related to climate risks could prove a costly burden
for Canadian corporations, institutions<\/mark><\/strong><\/em><\/p>\n\n\n\n

The planned\u00a0reset of global corporate capitalism to save the planet<\/strong>\u00a0continues to stumble toward the great unknown, in the sense that even after decades of effort the\u00a0machinery to expand regulatory control over investment and business decisions<\/strong>\u00a0remains bogged down<\/strong>\u00a0in murky conceptual clay. Developments in regulatory and legal circles suggest\u00a02024<\/strong>\u00a0will be\u00a0a pivotal year<\/strong>\u00a0for the revolutionary ideas that are supposed to\u00a0lead to a fundamental transition from bad economic policy to green.<\/strong><\/em><\/p>\n\n\n\n

\"\"<\/figure>\n\n\n\n

The\u00a0underlying concepts<\/strong>\u00a0are well known by name. We have corporate social responsibility\u00a0(CSR),<\/strong>\u00a0environmental and social governance\u00a0(ESG),<\/strong>\u00a0the\u00a0precautionary principle, and sustainable development.<\/strong>\u00a0What all these buzz-phrases mean is another question. Looking through the latest developments around the initiatives, however, a certain sense of\u00a0apprehension, doubt and even a bit of squeamish uncertainty seem to have taken hold.<\/strong><\/em><\/p>\n\n\n

\"\"<\/figure>\n<\/div>\n\n\n

In recent days\u00a0major global investment firms<\/strong>\u00a0such as U.S.-based JP Morgan and State Street\u00a0have\u00a0pulled away<\/a>\u00a0from\u00a0Climate Action 100+<\/a><\/strong>, a global industry-led\u00a0coalition with grandiose objectives<\/strong>\u00a0to fight the \u201csystemic risks\u201d of climate change. The claim is that investors must ensure the businesses they own have strategies that \u201caccelerate the transition to net-zero emissions by 2050, or sooner, and align with the goal of the Paris Agreement\u201d set by the United Nations in 2015.\u00a0 <\/em><\/p>\n\n\n\n

Despite decades of talk following the radical\u00a0Limits to Growth<\/a>\u00a0movement of the 1970s, the 1987\u00a0Brundtland<\/a>\u00a0report and the 1992 Rio Earth Summit\u2019s endorsement of \u201csustainable development<\/a>,\u201d the\u00a0remake of corporations into vehicles for economic and climate control remains far from complete.<\/strong>In New York this week, the International Financial Reporting Standards\u00a0(IFRS)<\/strong>\u00a0Foundation held a\u00a0symposium<\/a>\u00a0<\/strong>to inform corporations, institutions, regulators and advisors on the\u00a0emerging accounting and reporting standards surrounding sustainable development.<\/strong>\u00a0\u201cAchieving a truly global baseline of sustainability-related disclosures necessitates a strong focus on supporting implementation across all economic settings, so that all market participants can access its benefits.\u201d<\/em><\/p>\n\n\n\n

\"\"<\/figure>\n\n\n\n

One of the symposium sessions was titled: \u201cGet ready for jurisdictional adoption:<\/strong> How regulators are responding to the ISSB\u201d \u2014 the International Sustainability Standards Board. Released last June, the ISSB standards<\/a> will require corporations and investment organizations around the world<\/strong> to adopt common reporting approaches to climate and other environmental issues. It\u2019s an authoritarian, top-down and anti-competitive regime that leaves no country or sector free to set its own rules.<\/em><\/p>\n\n\n\n

All nations and regulators are to be locked in a global climate-control structure.<\/mark><\/strong><\/em><\/p>\n\n\n\n

Canada is part of that structure through the\u00a0Canadian Sustainability Standards Board<\/a>,<\/strong>\u00a0which this month announced a public consultation to advance adoption of sustainability disclosure standards in Canada. The\u00a0consultation<\/a>\u00a0begins in March and runs through to June. One objective is to determine, with provincial securities regulators, how\u00a0to impose mandatory reporting to replace voluntary standards on climate and environmental issues.<\/strong><\/em><\/p>\n\n\n

\"\"<\/figure>\n<\/div>\n\n\n

The Canadian Securities Administrators (CSA),<\/strong> which includes provincial securities commissions, is being pressured to take action on the grounds that Canada could get left behind. A paper<\/a> released earlier this month by the Canada Climate Law Initiative at the University of British Columbia urged regulators to move forward quickly with new sustainability standards.<\/strong> Failure to act in concordance with the ISSB could cause Canada to lose international investment flows, the report claims.<\/em><\/p>\n\n\n\n

<\/a><\/em><\/p>\n\n\n\n

The document continues through 20 pages of detailed recommendations<\/strong> covering climate-related strategies, investments, metrics, targets, performance, cash flows, scenarios, climate transition plans and science-based taxonomies. How any of this massive effort relates to corporate performance for shareholders is not addressed.<\/strong><\/em><\/p>\n\n\n\n

Looking to the future, the Law Initiative<\/strong> suggests the CSA should also begin thinking about requiring future reports  related to a corporation\u2019s \u201crelationship<\/strong> to terrestrial, freshwater and marine habitats, ecosystems and populations of related fauna and flora species, including diversity within species, between species and of ecosystems, and their interrelation with Indigenous and affected communities.\u201d<\/em><\/p>\n\n\n\n

Internationally, Canada must also deal with the\u00a0uncertainty surrounding the differing emerging global standards<\/strong>, including the still-to-be-determined U.S. Securities and Exchange Commission (SEC) approach to sustainable development. As the consulting firm EY put it in an\u00a0updated report<\/a>\u00a0last month, \u201cEntities with significant operations in multiple jurisdictions need to understand the key\u00a0differences among the SEC proposal, the ESRS [European Sustainability Reporting Standards] and the ISSB standards<\/strong>\u00a0because they might be subject to more than one set of requirements.\u201d\u00a0Another\u00a0EY report<\/a>\u00a0this week warns that sustainable development \u201ccontinues to face a range of\u00a0challenges\u201d in terms of costs, technologies and standardization.<\/strong><\/em><\/p>\n\n\n\n

The legal proposals would burden Canadian corporations and institutions with massive reporting responsibilities and costs related to climate risks.<\/strong> On corporate governance, for example, the Climate Law Initiative calls for securities issuers to \u201cdisclose the governance processes, controls, and procedures it uses to monitor, manage, and oversee climate related risks and opportunities.\u201d<\/em><\/p>\n\n\n\n

All of this is taking place on a shaky theoretical foundation
in economics and environmental change.<\/strong><\/em><\/p>\n\n\n\n

The 1987 Brundtland Commission simplistically defined sustainable development as \u201cdevelopment which meets the needs of the present without compromising the ability of future generations to meet their own needs.\u201d<\/strong> Exactly what \u201cneeds\u201d are is unclear. Maybe it was intended to capture Marx\u2019s slogan: \u201cFrom each according to his ability, to each according to his needs.\u201d Meaning: Take from wants of the developed world and give to the needs of the developing world?<\/em><\/p>\n\n\n\n

The missing fundamentals of the 50-year-old movement to reshape the corporate model should receive a little more attention in the months ahead.\u00a0Could it be that sustainable development is unsustainable?<\/strong><\/em><\/p>\n\n\n\n

Meanwhile, the\u00a0sustainability movement is transitioning to students.<\/strong>\u00a0In Kelowna, B.C., and Toronto this week the goal is to inspire the next woke generation of environmentally active citizens.
